EOH has created a sound reporting framework based on its five guiding philosophies, helping raise issues and demand response. However, reporting highlights awards and achievements, with barely a nod to challenges and concerns. Thus, the good framework exposes shallowness of reporting and accountability.
Lack of chairman’s voice throughout the report and minimum compliance reporting on material governance issues, such as board balance and effectiveness, as well as leadership selection and preparation, point to a lack of maturity in EOH’s approach to governance, leaving the company vulnerable to significant events putting stress on the board (as when the CEO stepped down). New CEO’s response to changes in management and allegations of graft lacked a mature voice, being largely fluff and bluster. Considering EOH’s role as custodian of its clients’ data, often customer data, reporting lacks discussion of potential cyber-attack, or risks of negligence, loss, or abuse of data.
